  39. NEW YORK - Escom AG, of Germany, picked up the assets of Commodore
  40. International Ltd. for the bargain-basement price of $6.6 million
  41. at an auction here yesterday.
  42.  
  43. About a half-dozen companies interested in Commodores assets appeared at
  44. the auction, but only Escom and Dell Computer Co. submitted bids backed up
  45. by the required $1 million security deposit.
  46.  
  47. Dells bid was disqualified because the company attached some unspecified
  48. conditions.
  49.  
  50. Escon president Manfred Schmidt said his company would resume manufacturing
  51. Amiga and other popular Commodore products and start making Apple- and IBM-
  52. compatible computers with the Commodore name for the European market.
  53.  
  54. Schmidt said he would attempt to manufacture all of the traditional
  55. Commodore products, even the advanced Amiga 4000, in China. He said he
  56. planned to approach Motorola Co. about microprocessors for the new
  57. Commodore Power PC, which would be similar to the PowerMac manufactured
  58. by Apple Computer Co. This new PowerPC would likely be built in Europe.

  60. Escom has no plans to resume any of Commodore's American manufacturing
  61. operations. Commodore had its North American headquarters in West Chester.
  62.  
  63. However, before Escom can launch its new strategy, the purchase must be
  64. approved by the U.S. Bankruptcy Court in New York and the Supreme Court
  65. of the Bahamas, where bankrupt Commodore was incorporated.
  66.  
  67. That approval is not yey certain since Commodore's creditors have not yet
  68. agreed to a sale price, and both IBM and the trustee for Commodore's assets
  69. in the Netherlands, the United Kingdom and the Phillipines are objecting
  70. to the sale.

  72. Judge James L. Garrity Jr. has scheduled a hearing in U.S. Bankruptcy Court
  73. for today to consider the proposed sale to Escom as well as the objections.
  74. Commodore's creditors are owed more than $100 million. Previous estimates of
  75. Commodore's auction value were as high as $20 million, so the creditors are
  76. likely to have reservations about the Escom sales price.

  78. The auction, which was supposed to be the end of Commodore's bankruptcy saga,
  79. was a bizarre affair. A standing-room only crowd of 65 people filled a
  80. conference room at the Midtown headquarters of Fullbright and Jawowrski, the
  81. American law firm representing Commodore's Bahamian liquidators.

  83. Almost half the group were lawyers. There were representatives of the creditors
  84. committee and of two creditors, Prudential Insurance and Microsoft Co. Also on
  85. hand were representatives of a Chinese electronic-game company, New Star, as
  86. well as another Chinese company, Tietsin Trust & Investment Co., which is the
  87. parent firm of yet another game company.

  89. If its proposal is approved, Escom plans a joint venture with Tietsin to
  90. manufacture the traditional Commodore products at a factory near Beijing.

  92. Also represented were several small American technology companies, including
  93. Computer Connection, of Stockton, Calif, which submitted a bid which was
  94. disqualified because the firm failed to include the required $1 million deposit.

  96. One attorney joked that never had he seen so many people show up for an auction
  97. prepared to pay so little.

  99. Scmidt said he was not surprised that Escom apparently had been able to acquire
  100. Commodore for such a low price. If the other companies had been willing to pay
  101. more, they would have signed a contract with the liquidators months ago.

  103. Another likely bidder, Creative Equipment Internatioanl, of Miami, apparently
  104. teamed up with Dell in its unsuccessful bid. The managers of Commodore's
  105. United Kingdom team, who have been trying to buy Commodore assets for months,
  106. withdrew before the bidding began.

  108. Dell was represented at the auction by Dalton Kaye, the company's vice-
  109. president and treasurer, who said after the auction that his company had not
  110. yet given up its attempt to buy Commodore.

  112. Kaye complained that Dell had become aware of the auction only two weeks ago
  113. and had not yet had time to evaluate either the bid documents or Commodore's
  114. assets.
  115.  
  116. Dell, of Austin, Texas, makes personal computers for business and individuals.
  117. In its latest fiscal year, which eneded in January, sales rose 21 percent to
  118. $3.5 billion, and the company had a profit of $149 million compared with a lose
  119. of $36 million the year before.

  121. Neither the amount of the Dell bid  nor of the Computer Connection bid was made
  122. public. Kaye declined to specify what conditions Dell had attached to its bid.

  124. If Dell is really serious about pursuing Commodore, a shoot-out with Escom
  125. could prove interesting. Dell had sales last year of $3.4 billion. Escom, which
  126. is the second largest computer company in Germany, had sales of about $1.1
  127. billion.

  129. Escom will end up paying the Bahamian liquidators no more than $5 million for
  130. Commodore's assets. The company has already paid the German bankruptcy trustee
  131. of Commodore's German subsidiary 2.2 German marks, the equivalent of about $1.6
  132. million for the right to use the Commodore logo in Germany.

  137. I think I would feel a little better if Dell had the Amiga, but at this 
  138. point, anything would be an improvement!
